Terms of service.

1. The service

Kretsa is operated by Kretsa Oy (Business ID / VAT 3254442-4), Helsinki, Finland. We present surplus food, beverage and packaging machinery submitted by sellers to a network of reviewed professional buyers, and we collect competing purchase offers on the seller's behalf.

Kretsa is not an auction house, a public classifieds site or a party to the sale. The purchase contract is concluded between the seller and the buyer.

2. Fees

Submitting machinery, receiving offers and using the service is free of charge for sellers. There is no listing fee and no success fee for the seller.

Buyers pay Kretsa Oy a commission on the accepted offer amount. The applicable commission is stated to the buyer before an offer is placed and must be accepted as part of submitting the offer. The commission is charged to the buyer only when a transaction is concluded.

The commission scale applied to the accepted offer amount is:

  • Under €20,000: €1,000 minimum
  • €20,000 – €100,000: 5%
  • €100,000 – €250,000: 4%
  • €250,000 – €500,000: 3%
  • €500,000 and above: 2%

A minimum commission of €1,000.00 applies to every concluded purchase. All commission amounts are exclusive of VAT.

The commission is invoiced by Kretsa Oy (business ID 3254442-4, Helsinki, Finland) with payment terms of 14 days net. Buyers established in Finland are invoiced with Finnish VAT. Buyers established in another EU member state that provide a valid VAT number are invoiced without VAT under the reverse charge procedure (Articles 44 and 196 of Council Directive 2006/112/EC), and are responsible for accounting for VAT in their own country. Buyers established outside the EU are invoiced outside the scope of Finnish VAT. Late payment interest accrues in accordance with the Finnish Interest Act.

The machine itself is sold directly between the seller and the buyer. Kretsa Oy is not a party to that sale, does not take title to the equipment and does not handle payment for it; the seller invoices the buyer directly and the parties agree the applicable VAT treatment, Incoterms and transfer of risk between themselves.

2a. Introductions and non-circumvention

Every buyer introduced to a seller through Kretsa Oy is an introduction made for consideration. For 24 months from the date of an introduction, the buyer undertakes not to purchase the introduced equipment, or other equipment from the introduced seller, outside the service, and not to pass the introduction to an affiliated or third-party company in order to avoid the commission.

If a transaction is concluded in breach of this clause, the commission that would have been payable becomes due in full. This clause applies to the buyer, its group companies and any party acting on its behalf.

3. Seller obligations

By submitting a machine, the seller confirms that:

  • they are authorised to sell the equipment on behalf of its owner;
  • the equipment is free of any liens, leases, financing or third-party rights that would prevent a sale, or that any such rights have been disclosed to us;
  • the details, photos and documents provided are accurate and not misleading, and known faults have been disclosed;
  • they will respond to accepted offers in good faith and will not use the service to collect valuations without any intention to sell;
  • they accept these terms and the privacy policy.

4. No obligation to sell

Submitting a machine does not oblige the seller to accept any offer. An offer becomes binding between the parties when the seller accepts it, subject to any conditions the buyer stated in the offer, such as inspection or collection terms.

5. Buyer obligations

Buyers must be registered businesses, must complete our review before receiving access to opportunities, and must treat all opportunity information as confidential. Offers must be made in good faith and honoured if accepted. Attempting to identify or approach a seller outside the platform in order to avoid the commission is a material breach of these terms and may result in removal from the network.

6. Anonymity

Seller identities are withheld from buyers, and buyer identities are withheld from sellers, until an offer is accepted. We rely on this to protect commercially sensitive information on both sides.

7. Condition, inspection and liability

Equipment is sold as-is by the seller. Kretsa Oy does not inspect, warrant or guarantee the condition, compliance or fitness for purpose of any machine, and is not liable for the performance of either party or for indirect or consequential loss. Our total liability is limited to the fees received in connection with the transaction concerned. Nothing here limits liability that cannot be limited under mandatory law.

8. Changes and governing law

We may update these terms; the version published on this page at the time of your submission applies to it. These terms are governed by Finnish law, and disputes are settled by the District Court of Helsinki.
